Terms and Conditions

AFFILIATE AGREEMENT

(hereinafter, the "Agreement").

General definitions

The Company refers to the entity or group of entities responsible for organizing the Affiliate Program and holding the rights to the Brand. The Brand refers to Betamina. The Company's Resources include the official website, mobile applications, and any other digital platform operated by the Company to provide betting and online gaming services. The Company's Products include all services offered to users through the Company's Resources. The Affiliate Program is the business relationship established between the Company and Affiliates through which Affiliates promote the Company's Products on their own resources in order to attract New Users, in exchange for a Commission under this Agreement. The Affiliate is the natural or legal person participating in the Affiliate Program and promoting the Company's Products in accordance with these terms. The Affiliate Account is the individual account assigned to the Affiliate within the Affiliate Program to track activity and Commissions. New Users are persons who did not previously have an account in the Company's Resources, access such Resources through the Affiliate's Referral Link, complete registration, and make at least one valid first deposit. The Referral Link is the unique link provided to the Affiliate containing an individual identifier and allowing referred users to be tracked. The Commission is the economic remuneration paid by the Company to the Affiliate under the compensation model agreed in this Agreement, whether under Revenue Share, CPA, or Hybrid Model. Payment is the transfer of the Commission from the Affiliate Program account to the payment method selected by the Affiliate. Advertising Materials include banners, texts, links, videos, images, or other promotional content intended to promote the Company's Products. Fraudulent Traffic means any activity intended to generate Commissions through illegal, deceptive, or dishonest practices, including but not limited to: use of stolen cards, chargebacks, creation of fictitious accounts, bonus or promotional system manipulation, cooperation with third parties to generate artificial activity, exploitation of technical failures, use of VPNs or proxies to hide identity or real location, as well as any other activity reasonably deemed fraudulent or unlawful by the Company.

1. General provisions

1.1. The Affiliate is responsible for ensuring that all information provided during registration in the Affiliate Program is true, complete, and kept up to date. Participation in the Program requires express acceptance of these terms by submitting the corresponding application. The Company may approve or reject any application at its sole discretion and will notify the decision by email.

1.2. By registering, the Affiliate represents and warrants that if it is a natural person, it has full legal capacity and has reached legal age under applicable law; and if it is a legal entity, it is duly incorporated under law, has full legal capacity, and has the necessary authorization to enter into this Agreement. Breach of this warranty entitles the Company to terminate the relationship without obligation to make outstanding payments.

1.3. The Affiliate is responsible for maintaining the confidentiality and security of access credentials. The Company is not responsible for losses arising from unauthorized access to the Affiliate Account.

1.4. The Company reserves the right to reject or terminate collaboration with any Affiliate, at its sole discretion, without obligation to justify its decision.

1.5. The Company may modify or update this Agreement at any time. Changes become effective upon publication in the Company's Resources. Continued participation in the Program constitutes acceptance of such changes.

1.6. Each Affiliate may maintain only one account in the Affiliate Program. Multiple registrations are not allowed, including indirect registrations or registrations through third parties.

2. Affiliate resources

2.1. The Affiliate must provide complete and up-to-date information about the resources used to promote the Company's Products.

2.2. The Affiliate is solely responsible for the operation, maintenance, and content of those resources.

2.3. The Affiliate guarantees that its resources comply with applicable law and do not contain illegal, offensive, discriminatory, violent, misleading content, or content that infringes rights of third parties or of the Company.

2.4. The Company is not obligated to supervise or approve the Affiliate's resources, but may take measures if they breach this Agreement or applicable regulations.

3. Intellectual property

3.1. During the term of the Agreement, the Company grants the Affiliate a limited, non-exclusive, royalty-free license to use trademarks, logos, and materials provided solely for promotional purposes within the Affiliate Program.

3.2. Any promotional material created by the Affiliate specifically for the Company is the Company's exclusive property from the moment of creation, including all associated intellectual property rights.

3.3. The Affiliate may not reproduce or imitate the design of the Company's Resources or use elements that create confusion regarding ownership of such resources.

3.4. The Affiliate's resources must not appear to be operated directly or indirectly by the Company.

3.5. Use of the Company's trademarks, logos, or materials beyond those officially provided requires prior written authorization.

3.6. The Affiliate may not register domains, trade names, applications, pages, or identifiers that include all or part of the Brand or similar denominations likely to create confusion.

3.7. The Affiliate may also not acquire keywords, tags, or other advertising identifiers identical or similar to the Company's trademarks.

3.8. The Affiliate may not create pages, profiles, or applications that appear to belong to the Company or may mislead as to their relationship with the Brand.

3.9. Breach of the above provisions entitles the Company to review or terminate collaboration.

4. Fraud, prohibited traffic, and restricted marketing methods

4.1. Fraud prohibition. The Affiliate undertakes not to participate, directly or indirectly, in any fraudulent, manipulative, or deceptive activity intended to generate undue Commissions, false registrations, simulated deposits, or artificial user activity.

4.2. Fraudulent traffic. Fraudulent Traffic includes, among others:

Registrations generated through bots, scripts, or automations.
Affiliate self-referrals or registrations made by persons linked to the Affiliate with the purpose of generating Commissions.
Use of unauthorized incentives, including money, external bonuses, rewards, or hidden benefits.
Cookie manipulation, cookie stuffing, or any technology intended to improperly attribute traffic.
Any practice intended to manipulate tracking, attribution, or Commission calculation systems.

4.3. Prohibited marketing methods. The Affiliate acts at all times in its own name and may not present itself as an employee, agent, or legal representative of the Company. It is strictly prohibited to:

Send unsolicited commercial communications (spam).
Use misleading advertising, registered trademarks without authorization, or impersonate the Company.
Use domains, social profiles, or materials that may lead users to believe the Affiliate acts on behalf of the Company.
Run brand bidding campaigns in search engines without express written authorization.
Use incentivized traffic, incentive networks, or unauthorized reward systems.

4.4. Audit and review right. The Company may review at any time the Affiliate's activity, traffic sources, and promotional methods. During the review period, Commission payments may be withheld until verification is completed.

4.5. Consequences of fraud. If the Company detects fraudulent or suspicious activity, it may immediately suspend the Affiliate account, cancel pending Commissions, deduct from future payments any Commission previously paid and linked to fraudulent activity, and terminate the Agreement with immediate effect.

5. Regulatory compliance and responsible advertising

5.1. Legal compliance. The Affiliate undertakes to comply at all times with applicable laws, regulations, and rules in the jurisdictions where promotional activities are carried out, including those related to advertising, consumer protection, data privacy, and commercial communications.

5.2. Responsible advertising and approved materials. The Affiliate must ensure that all Advertising Materials:

Are not directed at minors.
Do not contain misleading claims or promises of guaranteed earnings.
Do not promote irresponsible gambling.
Include responsible gaming messages when required by applicable regulations.

If the Affiliate develops its own promotional materials, it must obtain prior written authorization from the Company before publication.

5.3. Regulatory restrictions. The Company may at any time require the Affiliate to modify, suspend, or remove any promotional material that, under the Company's reasonable judgment, does not comply with regulatory, legal, or internal policy requirements, and the Affiliate must comply immediately.

5.4. Affiliate responsibility. The Affiliate is solely responsible for obtaining any permits, authorizations, or consents required to carry out promotional activities and will hold the Company harmless against any claim arising from non-compliance with regulatory or legal obligations in its advertising activity.

6. Commission structure

6.1. The Affiliate Commission may be established under one of the following models, as agreed in writing between the Parties:

a) Revenue Share

The Affiliate will receive a percentage of net revenue obtained by the Company from each Client acquired through the Affiliate. Net Gaming Revenue (NGR) is calculated as follows: NGR = (Bets - Winnings - Bonuses - Administrative Costs). The Revenue Share percentage is tiered and determined based on the volume of active Clients generated by the Affiliate during the last three (3) consecutive calendar months, according to the following structure: 0 to 4 active Clients: 10%; 5 to 14 active Clients: 25%; 15 to 24 active Clients: 30%; 25 or more active Clients: 40%. The applicable percentage is recalculated monthly. Commission under the Revenue Share model has a lifetime character for each referred Client, provided that the Affiliate keeps its account active, complies with this Agreement, does not engage in fraudulent practices, and does not remain inactive for more than six (6) consecutive months without generating new Clients. The Company may revoke the lifetime benefit only in case of serious breach or proven fraud. Any future percentage change applies only to Clients referred after the change enters into force, with at least thirty (30) days prior notice.

b) CPA (Cost Per Acquisition)

The Affiliate will receive a fixed commission starting from USD 25 for each valid Client who makes a first deposit, in accordance with terms agreed in writing between the Parties. For CPA to be considered valid, the Client must complete required registration and verification, make the minimum deposit defined by the Company, and not present fraud, chargebacks, or self-registration. The Company may adjust CPA amount according to country, traffic quality, or individual agreement, with prior notice to the Affiliate.

c) Hybrid Model

The Parties may agree in writing on a hybrid model combining Revenue Share and CPA in previously established proportions.

6.2. The Company may audit Affiliate activity for up to ninety (90) days in case of suspected Fraudulent Traffic. During this period, payments may be provisionally suspended. Income derived from fraudulent traffic will not be counted for Commission calculation.

6.3. Commission model review. The Company may review the commission model if the Affiliate does not generate at least five (5) active New Users for three (3) consecutive months or based on traffic quality, at the Company's sole reasonable discretion. The Company may modify the Revenue Share percentage or adjust CPA with thirty (30) days prior notice. Such modifications will not affect conditions applicable to previously referred Clients, unless expressly agreed by the Parties or in case of Affiliate breach.

7. Commission payments

7.1. Commissions are calculated monthly and paid within the first five (5) business days of the following month, provided the accumulated balance exceeds one hundred (100) USD. If the minimum threshold is not reached, the pending balance is automatically carried over to the next period until that threshold is met.

7.2. The Company operates under a no negative carryover model, therefore negative balances generated in one period are not carried over or offset in subsequent periods.

7.3. In case of refunds, chargebacks, fraud, technical errors, or irregular activity detected in referred Client accounts, the Company may deduct such amounts from future Commissions or offset them against pending balances.

7.4. The Company reserves the right to delay or withhold payments in case of technical verification, compliance review, internal audit, or investigation of possible irregular activity, until the relevant process is completed.

8. Attribution and tracking

8.1. The Affiliate Program operates under a "Last Click Wins" attribution model, whereby commission is assigned to the Affiliate whose tracking link generated the last valid click before Client registration, provided that such click was properly recorded by the Company's systems.

8.2. Cookie duration is thirty (30) days counted from the first valid click made by the User through the Affiliate link. If the User does not complete registration within that period, attribution expires automatically.

8.3. The Company is not responsible for technical failures, cookie blockers, browser settings, cookie deletion, use of different devices, or other circumstances beyond its control that prevent proper tracking or attribution of the Client.

9. Liability of the Parties

9.1. The Affiliate is fully responsible for the operation, maintenance, and content of its Resources. In case of non-compliance with this Agreement or applicable law, the Company may unilaterally terminate the Agreement. In such case, the Company is not obligated to pay Commissions linked to the non-compliance that motivated termination, without prejudice to payment of Commissions validly generated and not related to such breach.

9.2. The Affiliate undertakes to indemnify and hold the Company harmless from any loss, damage, liability, cost, or expense, including reasonable legal fees, arising from third-party claims related to the Affiliate's breach of this Agreement.

9.3. The Company is not liable for indirect, incidental, or consequential damages, including loss of profits, revenue, reputation, or data, that the Affiliate may suffer as a result of participation in the Affiliate Program or termination of this Agreement. Likewise, the Company is not liable to third parties for the Affiliate's non-compliance; for loss, improper handling, or disclosure of data managed by the Affiliate; or for claims related to the Affiliate's Resources or dissemination of Advertising Material made by the Affiliate.

9.4. The Company provides no warranties, express or implied, regarding the Affiliate Program, Advertising Materials, or the Company's Resources, including without limitation warranties of merchantability, fitness for a particular purpose, legality, or non-infringement of third-party rights. Nor does it guarantee uninterrupted or error-free system availability.

9.5. The Company does not guarantee any minimum Commission level. Commission amount depends on referred New User activity and the Affiliate's compliance with this Agreement.

9.6. To the maximum extent permitted by applicable law, the Company's total liability arising from any claim related to this Agreement is limited to the total amount of Commissions actually paid to the Affiliate during the calendar month immediately preceding the event giving rise to the claim.

9.7. Any amendment to this Agreement is valid only if made in writing and signed by duly authorized representatives of both Parties.

10. Dispute resolution

10.1. Any dispute arising from this Agreement will be initially resolved through good faith negotiations between the Parties.

10.2. If the Affiliate wishes to file a formal claim, it must be sent in writing to the official Affiliate Program email address, including a detailed description of facts and supporting documentation.

10.3. The Company will evaluate the claim within up to fourteen (14) business days from receipt.

10.4. The Company may refuse to process claims that do not include sufficient information for analysis, lack reasonable evidence, or contain offensive language, threats, or manifestly false accusations.

10.5. The Company's decision is final within the internal dispute resolution procedure, without prejudice to legal rights that may correspond to the Parties under applicable law.

11. Term and termination

11.1. Term. This Agreement enters into force upon Affiliate approval in the Affiliate Program and remains in force for an indefinite term.

11.2. Ordinary termination. Either Party may terminate this Agreement at any time by written notice at least thirty (30) days in advance. Notice sent by email is deemed a valid form of written notice.

11.3. Immediate termination. The Company may terminate the Agreement with immediate effect in case of the Affiliate's breach of any contractual obligation, fraudulent activities, bonus abuse, incentivized or unauthorized traffic, non-compliance with applicable law or regulatory rules, or any activity that may affect the Company's commercial reputation.

11.4. Affiliate obligations after termination. Upon termination, the Affiliate must immediately remove all links, banners, and advertising materials of the Company; cease use of trademarks, logos, and intellectual property; and return or destroy all confidential information received.

11.5. Commissions after termination. Unless termination occurs due to Affiliate breach, Commissions validly generated up to the effective termination date will be paid in accordance with this Agreement. The lifetime Revenue Share benefit is automatically extinguished on the termination date and no future Commissions will accrue thereafter.

12. General provisions

12.1. Relationship between the Parties. The Parties act as independent contractors. Nothing in this Agreement is interpreted as creation of a partnership, joint venture, employment, agency, or representation relationship.

12.2. Force majeure. Neither Party is liable for delays or failures caused by circumstances beyond reasonable control, including technical failures, service interruptions, regulatory changes, natural disasters, or labor conflicts. If such situation continues for more than thirty (30) days, either Party may terminate the Agreement by written notice.

12.3. Assignment. The Affiliate may not assign or transfer rights or obligations under this Agreement without the Company's prior written consent.

12.4. Severability. If any provision of this Agreement is declared invalid or unenforceable, remaining provisions remain fully in force.

12.5. No waiver. The Company's failure to exercise any right under this Agreement does not constitute waiver of such right.

12.6. Language. This Agreement was originally drafted in Spanish. If translated into other languages, translated versions are provided for informational purposes only. In case of discrepancy or interpretation difference between the Spanish version and any translated version, the Spanish version prevails.

12.7. Regulatory restrictions by jurisdiction. Availability of Betamina products and services may vary depending on user jurisdiction. Certain games, betting products, or promotional activities may be restricted or unavailable in certain territories due to applicable laws, license conditions, or current regulatory requirements. Affiliates are solely responsible for ensuring their marketing and promotional activities comply with all applicable laws and regulations in jurisdictions where they direct traffic. Affiliates must not promote Betamina products or services in territories where such promotion or activity is illegal or unauthorized. Betamina reserves the right to restrict access to its services in any jurisdiction, at its sole discretion and in compliance with regulatory and licensing obligations.

12.8. Governing law and jurisdiction. This Agreement is governed by and interpreted according to the laws of the jurisdiction in which the operating entity of the Affiliate Program is incorporated, without prejudice to mandatory rules that may apply. Any dispute not resolved under the internal procedure set out in clause 10 will be submitted to the exclusive jurisdiction of the competent courts of that jurisdiction.
